Teva USA hereby declares that to the best of its knowledge, information and belief, as of July 1, 2009, it is in material compliance with its Corporate Compliance Program and its good faith understanding of the requirements of California Health and Safety Code 119400-119402. We have developed a Corporate Compliance Program reasonably tailored to the size, organizational structure, and resources of the company and reasonably intended to satisfy the compliance goals set forth by the State of California. Our Corporate Compliance Program is reasonably designed to prevent and detect violations but by making this declaration, Teva USA does not assert that it can prevent individual employees from engaging in improper conduct.
